                                      MINUTES

   The Regular Commission Meeting of the City of Muskegon was held at City Hall, 933
Terrace Street, Muskegon, Michigan at 5:30pm, Tuesday, June 10, 2003.
   Mayor Warmington opened the meeting with a prayer from Father Michael Olson of Our
Lady of Grace Parish, after which members of the City Commission and members of the
public joined in reciting the Pledge of Allegiance to the Flag.
ROLL CALL FOR THE REGULAR COMMISSION MEETING:
Present: Mayor Stephen Warmington, Vice Mayor Karen Buie; Commissioners Stephen
Gawron, William Larson, Robert Schweifler, Clara Shepherd and Lawrence Spataro; City
Manager Bryon Mazade, City Attorney John Schrier and City Clerk Gail Kundinger.
INTRODUCTIONS:
    Mayor Warmington introduced Ken James from Affirmative Action who introduce the
Julia Hackley Fund 2003 interns working at the City for the summer.
2003-47 CONSENT AGENDA:
                a. Approval of Minutes. CITY CLERK
   SUMMARY OF REQUEST: To approve the minutes of the Regular Commission Meeting that
   was held on Tuesday, May 27, 2003.
   FINANCIAL IMPACT: None
   BUDGET ACTION REQUIRED: None
   STAFF RECOMMENDATION: Approval of the minutes.
                b. Amendment to Non-Union Salary Schedule. FINANCE
   SUMMARY OF REQUEST: One component of the recent contract settlement with the
   Clerical-Technical Union is the realignment of two positions (Network Technician and
   Computer Technician) to non-union status. The nearest salary ranges on the current
   non-union salary schedule are either too high or too low to accommodate these
   positions. Accordingly, staff recommends creation of a new range VII-B to meet this
   need. In line with the recent contract settlement, this change is recommended to be
   retroactive to January 1, 2003.
   FINANCIAL IMPACT: Because of the nature of the work and the access to data, staff
   believes it is appropriate and cost-effective for these positions to be non-union. The
   direct financial impact of this change is minor. The 2003 non-union salary range will be
   from $35,019 to $46,695; had the positions remained in the union, the salary range for
   2003 would have been $34,781 to $46,376.
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: Approval of the proposed amendment to the City's Non-Union
Salary Schedule.
             c. Request to Purchase Tax-Reverted            Properties.      PLANNING    Et
                ECONOMIC DEVELOPMENT
SUMMARY OF REQUEST: Prior to 2002, the City was offered many State-owned vacant
parcels for purchase for the price of $300 for the first 5 lots and $20 per lot thereafter.
In fact, we recently submitted a request for 36 lots to the State in March 2003. Shortly
after that request was submitted, the State or Michigan sent us a large list of available
properties and asked if we wished to purchase any of them. Most of the lots that we
requested in March were on this list, however there are additional properties available.
The following list is only the new properties requested. After a call to the State, we
were informed that we could incorporate the two lists and make one request to
purchase properties. One property, #51, which was inadvertently omitted, was added
to this list since the LRC recommended approval.
STAFF RECOMMENDATION: To approve the Request and to authorize the Mayor and Clerk
to sign the resolution.
FINANCIAL IMPACT: Total cost of these new properties is $1,060, in addition to the $920
already approved for the previous 36 lots.
BUDGET ACTION REQUIRED: Expend the additional $1,060 necessary to purchase these
parcels.
COMMITTEE RECOMMENDATION: The Land Reutilization Committee recommended
approval at their May 27, 2003 meeting.
             d. Sale of Non-Buildable Lot at 330 Mason Avenue.               PLANNING Et
                ECONOMIC DEVELOPMENT
SUMMARY OF REQUEST: To approve the sale of a vacant non-buildable lot (Parcel #24-
205-390-0011-00) at 330 Mason Ave. to Rebia Jackson and Rickey Farmer, 338 Mason
Ave., Muskegon, Ml 49441. Approval of this sale will allow the adjacent property owner
to expand their current yard.     Since the other adjacent property owner wasn't
interested in a portion of the lot, the entire parcel is being offered for $1 to Ms.
Jackson and Mr. Farmer under the new $1 lot program.
FINANCIAL IMPACT: The sale of this lot will allow the property to be placed back on the
City's tax rolls thus relieving the City of continued maintenance costs.
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: To approve the resolution and to authorize both the Mayor
and the Clerk to sign the resolution.
             e. Split and Sale of Buildable Lot at 520 E. Isabella Avenue. PLANNING
                Et ECONOMIC DEVELOPMENT
SUMMARY OF REQUEST: To approve the sale of a vacant buildable lot (Parcel #24-205-
069-0011-00) at 520 Isabella Ave. to Kevin and Roberta Weaver, owners of 1083
Chestnut St., Muskegon, Ml 49442 and Yorvette Price, 1093 Chestnut, Muskegon, Ml
49442. Approval of this sale will allow these two adjacent property owners to expand
their current yards. As is required by City policy, the subject parcel is being offered for
$100 for each half, and the lot will be split between the Weavers and Ms. Price.
FINANCIAL IMPACT: The sale of this lot will allow the property to be placed back on the
City's tax rolls thus relieving the City of continued maintenance costs.
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: To approve the resolution and to authorize both the Mayor
and the Clerk to sign the resolution.
COMMITTEE RECOMMENDATION: The Land Reutilization Committee approved this

             f. Annual Carriage License Renewal - Muskegon Carriage Co.           CITY
                CLERK
SUMMARY OF REQUEST: To approve the request to license two (2) carriages for
operation in the City of Muskegon for the 2003-2004 licensing year. Sgt. Shirey has
inspected the carriages and approves this request.
FINANCIAL IMPACT: None
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: Approval
             g. Taxicab License Renewal - Port City Cab Company. CITY CLERK
SUMMARY OF REQUEST: This request is from Thomas Wakefield, owner of Wakefield
Leasing, whose office is located at 770 W. Sherman Blvd., Muskegon, Ml. Mr. Wakefield
is requesting approval of an additional taxicab. Sgt. Shirey has inspected the taxicab
and approves this request.
FINANCIAL IMPACT: None
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: Approval of an additional taxicab.
             h. Appointment to Various Boards and Committees. CITY CLERK
SUMMARY OF REQUEST: To appoint John Thompson and Cara Taylor to the District
Library Board; Eileen Stephanie Allen to the Land Reutilization Committee; and Ernest
Fordham to the Zoning Board of Appeals.
FINANCIAL IMPACT: None
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: To make the appointments.
COMMITTEE RECOMMENDATION: The Community Relations Committee recommended the
appointments.
             i. Consideration of Bids - Alpha Street, Commerce to Jefferson.
                ENGINEERING
SUMMARY OF REQUEST: The contract to construct a new paved (Asphalt) street on Alpha
between Commerce & Jefferson be awarded to McCormick Sand Co. out of Shelby.
McCormick Sand was the lowest, responsible bidder with a bid price of $64,427.40.
FINANCIAL IMPACT: The construction cost of $64,427.40 plus related engineering
expenses.
BUDGET ACTION REQUIRED: None
  STAFF RECOMMENDATION: Award the contract to McCormick Sand Co.
  Motion by Vice Mayor Buie, second by Commissioner Schweifler to approve the
  Consent Agenda as presented.

2003-48 UNFINISHED BUSINESS:
               a. SECOND READING: Rezoning Request for Various Properties to the
                  'MC' Medical Care Zoning District.    PLANNING & ECONOMIC
                  DEVELOPMENT
  SUMMARY OF REQUEST: Request to rezone many of the properties located on or near
  the three hospital campuses within the City from various zoning designations to the new
  "MC" Medical Care Zoning District.
  FINANCIAL IMPACT: None
  BUDGET ACTION REQUIRED: None
  STAFF RECOMMENDATION: Staff originally proposed a larger area for rezoning around
  the Hackley Hospital area, which included the block bounded by Larch, Leahy, Laketon
  and Hoyt, the block bounded by Larch, Clinton, Laketon and Peck, and several
  properties south of Laketon Ave.
  COMMITTEE RECOMMENDATION: The Planning Commission recommended approval of the
  request at their 5/15 meeting, with several changes. They voted to approve the
  properties on or near the Hackley Hospital campus as proposed by staff, with the
  exception of all properties currently zoned R-1 (block bounded by Larch, Leahy,
  Laketon and Hoyt, and properties south of Laketon Ave.). That motion passed, with T.
  Harryman and T. Michalski voting nay. They voted then to exclude all properties from
  the block bounded by Larch, Clinton, Laketon and Peck which are not owned by Hackley
  Hospital. That motion passed with B. Mazade, L. Spataro and P. Sartorius voting nay.
  They voted to approve the properties on or near the Mercy-General Health Partners
  Sherman Campus as proposed by staff, with the exception of Dr. Kakaty's office at 2525
  Roberts. That motion passed unanimously. They voted to approve the properties on or
  near the Mercy-General Health Partners Oak Campus as proposed by staff. That motion
  passed unanimously.
  Motion by Commissioner Spataro, second by Vice Mayor Buie to approve the
  ordinance to amend the zoning map of the City to provide for zoning changes for
  certain properties on or near the three hospital campuses within the City to the new
  'MC' Medical Care District.

2003-49   NEW BUSINESS:
               a. Fireworks Display - Muskegon Summer Celebration. CITY CLERK
  SUMMARY OF REQUEST: Steve Franklin is requesting approval of a fireworks display
  permit for July 4th and 6th at the Muskegon Summer Celebration. Fire Marshall Metcalf
  has reviewed the request and recommends approval contingent on inspection of the
  fireworks and approval of the insurance.
  FINANCIAL IMPACT: None
  BUDGET ACTION REQUIRED: None
  STAFF RECOMMENDATION: Approval contingent on inspection of the fireworks and
  approval of the insurance.
  Motion by Commissioner Shepherd, second by Commissioner Spataro to approve a
  Fireworks Display Permit for Muskegon Summer Celebration to Steve Franklin
  contingent upon approval of insurance and inspection of the Fire Marshall.

               b. Purchase of Garbage Carts (Revised Pricing). PUBLIC WORKS
  SUMMARY OF REQUEST: We have obtained revised pricing for replacement garbage
  carts. Now we have 2 companies competing with equivalent carts. Since we are
  budgeted for 2 truckload purchases in 2003, we recommend that we purchase a
  truckload from each vendor at this time. The cost would be ($38. 90 per cart)
  $20,422.50 from Toter, Inc. and ($38.00 per cart) $20,976.00 from Rehrig Pacific, Inc.
  We will have saved $3,300 from what we paid for carts in 2002. Therefore we request
  that the previous authorization to purchase be rescinded and this proposal be approved.
  FINANCIAL IMPACT: A total of $41,398.50 would be charged to the Sanitation Fund
  BUDGET ACTION REQUIRED: None, we are budgeted in the Sanitation budget for 2
  annual purchases.
  STAFF RECOMMENDATION: Approve the purchase.
  Motion by Commissioner Larson, second by Commissioner Gawron to approve the
  request that the previous authorization to purchase replacement garbage carts be
  rescinded and the proposal to purchase the carts from Toter Inc. for $20,422.5 and
  from Rehrig Pacific Inc. for $20,976.00 be approved

               c. Consideration of Bids - Nims & Irwin, Getty to Wood. ENGINEERING
  SUMMARY OF REQUEST: The contract to reconstruct Nims St. & resurface Irwin between
  Getty & Wood, using concrete alternative, be awarded to K 8: Rout of Grand Rapids. K
  & R was the lowest, responsible bidder with a bid price of $372,493.38 for the concrete
  alternative.
FINANCIAL IMPACT: The construction cost of $372,493.38 plus related engineering
expenses.
BUDGET ACTION REQUIRED: The up coming quarterly update will have to be revised to
reflect an addition of $100,000 to the budgeted (from $300,000 to $400,000)
STAFF RECOMMENDATION: Award the contract to K & R with the concrete alternative.
This recommendation for the use of concrete is based on a slight edge for the concrete
when compared the life cycle versus the cost of both alternatives and the fact that the
existing surface of Nims is concrete.
Motion by Commissioner Larson, second by Commissioner Spataro to award the
contract, with the concrete alternative, for reconstruction of Nims St. and
resurfacing of Irwin between Getty and Wood to K & R of Grand Rapids.

             d. City Manager's Employment Agreement
SUMMARY OF REQUEST: To approve changes to the City Manager's employment
agreement.
FINANCIAL IMPACT: $750 annually
BUDGET ACTION REQUIRED: None
STAFF RECOMMENDATION: Changes should be considered in two separate motions.
1) Increase Auto Allowance by $750. Per year
2) Increase Severance Pay from six months to seven months.
Motion by Commissioner Spataro, second by Commissioner Shepherd to approve the
increase of auto allowance by $750 per year in the City Manager's Employment
Agreement.

       SUBJECT: STATE-OWNED TAX-REVERTED PROPERTIES

       Attached is a list of the properties we have available for conveyance to your municipality under the
       provisions of Act 451, P.A. 1994, as amended. Included with the list of prope1ties are an application,
       sample resolution and information pertaining to Act 451.

       If you are interested in acquiring title to any of these properties, please submit the application along with
       a resolution passed by your governing body. Your resolution should contain a statement indicating the
       municipality's desire to acquire title to the property and the intended use. The $300.00 application fee

WHEREAS, Act 451, P.A. 1994, as amended, provides for the conveyance of State-owned tax-
reverted lands to municipal units for public purposes; and

WHEREAS, such lands are under the jurisdiction of the State of Michigan, Department of
Natural Resources and are available for acquisition under the provisions of the above mentioned
act; and

WHEREAS, the legal descriptions of these parcels are attached; and

WHEREAS, the City of Muskegon desires to acquire such lands for purposes of residential
developments;

NOW THEREFORE BE IT RESOLVED that the City of Muskegon is authorized to make
application to the State of Michigan, Department of Natural Resources, Real Estate Division for
conveyance of said land to the City of Muskegon for a nominal fee as set by the Natural
Resources Commission; and

FURTHER BE IT RESOLVED that the City of Muskegon shall set up necessary procedures and
controls to provide for the property distribution of funds arising from the subsequent sale of the

To approve the sale of a vacant non-buildable lot (Parcel #24-205-389-0011-00) at 330
Mason Avenue to Rebia Jackson and Rickey Farmer, 338 Mason Avenue, Muskegon,
Ml 49441 Approval of this sale will allow the adjacent property owner to expand their
current yard (see attached map). Since the other adjacent property owner wasn't
interested in a portion of the lot, the entire parcel is being offered for $1 to Ms. Jackson
and Mr. Farmer under the new $1 lot program.

FINANCIAL IMPACT:

The sale of this lot will allow the property to be placed back on the City's tax rolls thus

                                             May 15, 2003


Hearing; Case 2003-18: Staff-initiated request to rezone the three hospital campuses in the
City from various zoning designations to the new MC, Medical Care district.


BACKGROUND
This rezoning is the continuation of the process began by adoption of the new Medical Care
(MC) district language several months ago. Staff has studied the three hospital campuses and
surrounding uses, and is proposing tlu·ee areas to be rezoned to the new district. These areas
include existing medically-related uses, as well as areas which may realistically better be served
as medically related. The intention was to recognize the existing hospital campus locations and
to also provide some areas for hospital growth.

The tlu·ee areas are summarized in more detail below, based on the hospital campus location:
•   Mercy-General Health Partners - Oak Campus (Oak Ave. and Harvey St.)
    Most of the existing hospital campus is currently zoned RM-I, with a small portion zoned
    RM-2. Staff is also proposing to include the Village at the Oaks and Oakview Medical
    Center properties as well, as these uses are also currently zoned RM-I, fit well within the MC
    district and are directly adjacent to the hospital campus proper. Staff did not include other
    adjacent properties, such as the Carriage House and Glen Oaks apartment complexes
    (currently zoned RM-2) and the MAISD property (currently zoned RM-I). The proposed
    district bounds Muskegon Township to the south.
•   Mercy-General Health Partners-Sherman Campus (Sherman Blvd. and US-31)
    Most of this hospital campus is also currently zoned RM-I, with a small portion of
    unimproved property zoned I-2. Staff is also proposing to include several adjacent medical
    office buildings as shown on the enclosed map. Most of these are currently zoned RM- I as
    well, with a few zoned B-2, and one property currently zoned B-1. Staff did not include any
    properties within the Medendorp Industrial Park which are current industrial uses. The
    proposed district bounds Norton Shores to the south.
•   Hackley Hospital (Laketon Ave., Larch Ave., Hoyt St., Clinton St., and Peck St. area)
    Most of this hospital campus is also currently zoned RM- I, with portions zoned R-1 and RM-
    2 as well. Staff is also proposing to include several existing medical office buildings directly
    adjacent to the campus on Peck St. and Larch Ave. which are currently zoned B-4. There is
    one residential property in this area as well. Staff is also proposing to include some medical
    office and residential properties to the southeast of the campus, and across Laketon Ave., all
    currently zoned R-1. The intention is to give the hospital some room for controlled
    expansion as homes may come up for sale.

Staff has received several phone calls and letters regarding this case. The letters are attached for
review. The phone calls are summarized below:
        • Dr. and Ms. Kakaty, 2525 Robe1is St., ve1y opposed to their building being included
             in the rezoning as this would limit their options for sale of the building.
        • Chris, Shoreline Opthamology, Sherman Blvd., had questions about the proposed
             rezoning and no objections to it. He also stated that the little piece of prope1iy shown
             on the map as 'MGHP' behind their building is in fact owned by them.
        • Marvin De Winter, owner of the Oakview Medical Center, had questions about how
             the proposed rezoning would affect his prope1iy. He had no objections to the
             rezonmg.
        • David Tencate asked for a copy of the MC zoning district regulations. The district
             language was e-mailed to him.
        • One caller on Jiroch St. had questions about the rezoning but did not leave a name or
             address.
        • One caller had questions about the rezoning but did not leave a name or address.
        • One caller had many questions about the rezoning and the new Hackley ER building
             and proposed helipmi. He stated that he lives near Hackley Hospital but did not wish
             to leave a name or address. He had questions about what the new district means for
           · the neighborhood.


DELIBERATION
Criteria-based questions typically asked during a rezoning include:

1. What, if any, identifiable conditions related to the petition have changed which justify the
   petitioned change in zoning.

2. What are the precedents and the possible effects of precedent which might result from the
   approval or denial of the petition.

3. What is the impact of the amendment on the ability of the city to provide adequate public
   services and facilities and/or programs that might reasonably be required in the future if the
   petition is approved.

4. Does the petitioned zoning change adversely affect the environmental conditions or value of
   the sunounding property.

5. Does the petitioned zoning change generally comply with the adopted Future Land Use
   Plan of the City.

6. Are there any significant negative environmental impacts which would reasonably occur if
   the petitioned zoning change and resulting allowed structures were built such as:

               a.      Surface water drainage problems
               b.      Waste water disposal problems

                c.     Adverse effect on surface or subsurface water quality
                d.     The loss of valuable natural resources such as forest, wetland, historic
                       sites, or wildlife areas.

7. Is the proposed zoning change a "Spot Zone"?

               a.      Is the parcel small in size relative to its surroundings?
               a.      Would the zoning change allow uses that are inconsistent with those
                       allowed in the vicinity?
               b.      Would the zoning change confer a benefit to the property owner that is
                       not generally available to other properties in the area?
               c.      A spot zone is appropriate if it complies with the Master Plan.

RE:           Purchase of Garbage Carts (Revised Pricing)


SUMMARY OF REQUEST:
We have obtained revised pricing for replacement garbage carts. Now we have 2
companies competing with equivalent carts. Since we are budgeted for 2 truckload
purchases in 2003, we recommend that we purchase a truckload from each vendor
at this time. The cost would be ($38.90 per cart) $20,422.50 from Toter, Inc. and
($38.00 per cart) $20,976.00 from Rehrig Pacific, Inc. We will have saved $3,300
from what we paid for carts in 2002. Therefore we request that the previous
authorization to purchase be rescinded and this proposal be approved.

FINANCIAL IMPACT:
A total of $41,398.50 would be charged to the Sanitation Fund.

BUDGET ACTION REQUIRED:
None, we are budgeted in the Sanitation budget for 2 annual purchases.

STAFF RECOMMENDATION:
Approve the purchase.

 Re:      Purchase of Replacement Garbage Carts



 At the previous City Commission meeting held on May 27, 2003 we presented a proposal to purchase
 525 garbage carts from Toter, Inc., which is our long-lime vendor of carts. The price quoted was $42.00
 each for a total of $22,050 delivered to the Public Service Building. This proposal was approved. Since
 that lime we have been contacted by Rehrig Pacific, Inc., which manufactures the garbage carts used
 by our contractor, Sunset Waste Services, for its other customers. We have examined this cart and
 found it to be suitable for use in the City. Rehrig Pacific quoted a price of $38.00 per cart for a truckload
 of 552 carts. Since the price of the Rehrig Pacific cart is significantly lower than the price quoted for the
 Toter cart, we contacted Toter and asked them to match the lower price. Now Toter comes back with a
 new price of $38.90 per cart delivered. It this point we believe we have very good prices for essentially
 equivalent equipment and each with a 10-year guarantee. Keep in mind that in 2002 we purchased 2
 truckloads of carts from Toter at $44.37 per cart.

 I am proposing that we purchase a truckload of carts from each of these vendors, Rehrig Pacific and
 Toter. We are budgeted in 2003 for 2 truckloads so we can significantly replace dilapidated or broken
 carts. As we do with water meters, our policy is to purchase from competing vendors so that we receive
 ihe best pricing possible. In 2002 we spent $44,724.96 on cart purchases. This year we will be able to
 spend less, $41,398.50. That is a savings of $3,326.46. Below is a summary of the quoted prices.

SUMMARY OF REQUEST:
The contract to reconstruct Nims Street & resurface Irwin between Getty & Wood, using
concrete alternative, be awarded to K & R out of Grand Rapids. K & R was the lowest,
see attached bid tabulation, responsible bidder with a bid price of $372,493.38 for the
concrete alternative.



FINANCIAL IMPACT:
The construction cost of $372,493.38 plus related engineering expenses.



BUDGET ACTION REQUIRED:
The up coming quarterly update will have to be revised to reflect an addition of $100,000
to the budgeted (from $300,000 to $400,000).


STAFF RECOMMENDATION:
Award the contract to K & R with the concrete alternative. This recommendation , use of
concrete, is based on a slight edge for the concrete when compared the life cycle verses the
cost of both alternatives and the fact that the existing surface of Nims is concrete.

SUMMARY OF REQUEST:

To approve changes to the City Manager's employment agreement.



FINANCIAL IMPACT:

Changes should be considered in two separate motions.

1)       Increase Auto Allowance by $750 per year.

                                  EMPLOYMENT AGREEMENT

                             CITY OF MUSKEGON - BRYON L. MAZADE
                                       Effective July I, 2003

         This employment agreement is made and entered into by and between the CITY OF

MUSKEGON ("CITY") and BRYON L. MAZADE ("MANAGER").


                                              Recitals

         A.       The CITY desires to employ the services of MANAGER as the City Manager of

the City of Muskegon as provided in the Charter of the City of Muskegon and desires to establish

conditions of employment, provide certain benefits and set working conditions for said

MANAGER.

         B.       MANAGER desires to maintain the employment as City Manager of the City of

Muskegon in accordance with the terms and provisions of the Agreement.

         C.       This Agreement supersedes all prior agreements.


                                             Agreement

         NOW THEREFORE, THE CITY AND MANAGER AGREE AS FOLLOWS:

         I.       EMPLOYMENT. CITY employs MANAGER as City Manager to perform the

functions and duties specified in the City Charter and ordinances and to perfo1m such other

legally permissible and proper duties and functions as the City Commission may, from time to

time, assign, and MANAGER accepts such employment.

                  MANAGER agrees to remain in the employ of the CITY until termination is

effected as hereinafter provided. MANAGER agrees to devote full time to his duties as City

Manager. MANAGER may undertake other incidental employment, subject to the right of the

City to require Manager to terminate other incidental employment.

         2.       SALARY. Effective July 1, 2002, CITY agrees to pay MANAGER as

compensation for services rendered an annual salary of $105,256 per year. MANAGER shall be

entitled to cost of living adjustments approved by the City Commission for department heads on

the first of each year.

         3.       PENSION. It is understood by MANAGER that he will remain a member of the

City's General Employees Retirement System and remain eligible for all benefits thereunder.

         4.       FRINGE BENEFITS. In addition to the base salary and deferred compensation

established for MANAGER, CITY shall afford MANAGER the following:

                  (a)        Sick Leave. The existing sick leave bank shall be continued, and shall

continue to accrue at one (I) day per month, up to a maximum of 120 days.

                  (b)        Disability Insurance. During employment, a disability insurance policy

providing benefits for lost compensation until age sixty-five (65).

                  (c)        Holidays. Eleven (11) holidays per annum.

                  (d)        Vacation. Effective January 1, 2002, for each calendar year MANAGER

shall be entitled to five weeks vacation. Vacation time may be accumulated and carried over to

subsequent years, except that vacation time in excess of four weeks shall not be carried over and

shall be lost.

                  (e)        Life Insurance. A term life insurance policy during employment in the

amount provided for exempt employees.

                  (f)        Automobile Allowance. Effective July 1, 2003, an annual automobile

allowance of$6,750 for mileage shall be provided and payable in the 26 pay periods. In

addition, there shall be reimbursement for mileage at the standard City rate for a round trip of

100 miles or more on behalf of the CITY.

                   (g)       Hospitalization Insurance. Coverage under the CITY'S hospitalization and

dental plan for MANAGER, MANAGER'S wife and children. MANAGER and MANAGER'S

dependents will, however, be subject to plan amendments adopted from time to time by the City

Commission.

                   (h)       Membership Dues and Expenses. Payment of annual ICMA membership

dues and payment of expenses to attend ICMA conferences within the State of Michigan.

Payment of the expenses to attend the annual ICMA conference. All other out of state

conferences must receive prior consent of City Commission.

                  (i)        Civic Organizations. CITY will pay or reimburse MANAGER for

membership dues and fees in one civic organizations, i.e. Rotary, Lions Club, etc., subject to the

City's ability to review and eliminate this benefit.

                  (j)        Miscellaneous. In addition to the fringe benefits set forth above, and to

the extent that this subparagraph does not duplicate or conflict with the above fringe benefits,

(which shall prevail), the MANAGER shall have the same fringe benefits as are available to the

highest level department heads employed by the CITY from time to time.

         5.       TERM. It is understood by both CITY and MANAGER that employment may be

terminated at the will of either party.

         6.       SEVERANCE PAY UPON TERMINATION BY CITY. If CITY terminates

MANAGER'S employment, or if termination occurs pursuant to section 8 ( except the last

paragraph thereof), MANAGER shall receive severance pay in an amount equal to seven (7)

months' salary, 50% of any unused sick leave pay and payment for unused vacation time earned

in that calendar year to the date of termination.

          7.       TERMINATION OF EMPLOYMENT BY MANAGER. MANAGER may

terminate employment at any time after providing the CITY with a thirty (30) day notice.

          8.       SEVERANCE PAY UPON TERMINATION BY MANAGER. In the event the

CITY refuses, following written notice, to comply with any material provisions of this agreement

which financially benefit MANAGER, or MANAGER resigns following the simultaneous

suggestion, whether formal or informal, by a majority of the members of the City Commission

that he resign, then, in that event, the MANAGER may at his option be deemed to be terminated

at the date of such failure to comply or simultaneous suggestion. In such case, the MANAGER

shall be deemed to have been terminated by the CITY and entitled to the severance benefits set

forth above.

                  In the event the MANAGER terminates his employment for reasons other than

those stated in this paragraph, he shall receive one-half (1/2) of his unused sick leave bank and

all earned vacation pay for that calendar year, but no other severance pay or benefit, except as

required by law.

         9.       MERGER OF NEGOTIATIONS. This agreement constitutes the entire contract

of employment between CITY and MANAGER. No statement, promise, agreement, or

obligation that conflicts with the terms of this agreement shall modify, enlarge, or invalidate this

agreement or any provisions hereof.
