Staff will be presenting potential solutions to the housing crisis.
Jamie Pesch, Planner, Mike Franzak, Planning Director, and Jake Eckholm,
Economic Development Director, gave an overview of the item and answered
questions. Presentation will go out to the public and comments will be
received.

   B. Complete Streets Policy Manager's Office
Staff requests approval of a new Complete Streets Policy.
LeighAnn Mikesell, Deputy City Manager, explained the Complete Streets
Policy. This will be discussed at the June 11th City Commission Meeting.

CALL TO ORDER
The Regular Commission Meeting of the City of Muskegon was held at City Hall,
933 Terrace Street, Muskegon, Michigan at 5:30 p.m., Tuesday, June 11, 2024.
Pastor E. J. Wood, from All Shores Wesleyan Church, opened the meeting with
prayer, after which the Commission and public recited the Pledge of Allegiance
to the Flag.

    B. Sale of 1095 Third Street - ITEM REMOVED PER STAFF REQUEST Economic
       Development
    D. Sale of 892 Orchard Planning
Staff is seeking authorization to sell the City-owned vacant lot at 892 Orchard to
Mark Payne. Mark Payne would like to purchase the City-owned buildable lot at
892 Orchard for $3,000 (75% of the True Cash Value of $4,000) plus half of the
closing costs and the fee to register the deed. The buyer will be constructing
one single-family home on the property.
STAFF RECOMMENDATION: Authorize the Code Coordinator to complete the
sale of 892 Orchard, as described in the purchase agreement, and to have the
Mayor and Clerk sign both the purchase agreement and the deed.

    I. Contract for Planning/Architectural Services with SEH Planning
The Development Services Division will be contracting with a consulting firm to
create a Corridor Improvement Plan for Apple Ave. Staff issued a Request for
Proposal (RFP) for the project and received four responses. SEH provided the
lowest bid and they are a local firm that located their offices on Webster Ave in
2023.
STAFF RECOMMENDATION: To approve the contract with SEH.

    L. Gaming License Request from HUG MKG (Help Us Give Muskegon) City
       Clerk
HUG MKG is requesting a resolution recognizing them as a non-profit
organization operating in the City for the purpose of obtaining a Gaming
License. They have been recognized as a 501(c)(3) organization by the State.
STAFF RECOMMENDATION: To approve the resolution.

    M. Complete Streets Policy Manager's Office
Staff requests approval of a new Complete Streets Policy. Staff from the
Planning, Public Works, and Engineering Departments have developed a
Complete Streets Policy in an effort to further our goal to improve quality of life
and economic vitality for our residents, workers, and visitors. The Complete
Streets Policy will enhance mobility, improve safety, expand transportation
access/choice, and build a healthy community. Benefits include reducing
vehicle miles traveled and increasing transportation by walking, bicycling, and
public transportation which help address a wide variety of challenges including
pollution, climate change, traffic congestion, social isolation, obesity, and
physical inactivity.

    C. Rezoning of Properties on Beach St, Indiana Ave, Ohio Ave, Simpson
       Ave, and Nelson St from R-1 to R-2. (SECOND READING) Planning
Staff initiated request to rezone the following properties from R-1, Low Density
Single-Family Residential to R-2, Medium Density Single Family Residential: 1510,
1520, 1528, 1536, 1542, 1548, 1554, 1562, 1568, 1582, 1590, 1598, 1602, 1610, 1616,
1622, 1636, 1646, 1650, 1656, 1662, 1668, 1682, 1686, 1692, and 1704 Beach
Street; 3660 Indiana Avenue; 1360,1368, 1374, 1386, 1412, 1430, 1448, 1450, 1516,
1517, 1523, 1530, 1538, 1550, 1551, 1560, 1563, 1569, 1570, 1579, 1580, 1590, 1600,
1603, 1622, 1631, 1635, 1636, 1632, 1634, 1640, 1642, 1651, 1652, 1661, 1663, 1666,
1674, 1675, 1682, and 1690 Nelson; 3600 and 3601 Ohio Avenue; and 3691
Simpson Avenue. Staff has received several calls over the past year from
property owners in this area that had some concerns about their R-1 zoning
designation. Many properties within this focus area are considered “legally non-
conforming” because their lots do not meet the minimum lot size requirements
(minimum of 50 feet of street frontage and 6,000 sf total). Some property owners
were having difficulties with financing options since they would not be able to
rebuild after a disaster without a variance from the Zoning Board of Appeals. A
couple property owners were inquiring about splitting their large lots, only to find
that they were just short on the amount of land needed for two lots.
This would not allow more housing types (duplexes, etc), it only modifies the size
of a buildable lot. A focus group was held in March with the property owners.
The Planning Commission unanimously recommended approval of the rezoning
at their May meeting.
STAFF RECOMMENDATION: To approve the rezonings as listed in the packet.

    E. Road Construction Contract Award to Anlaan for New and Second
       Streets DPW- Engineering
Staff is requesting authorization to approve a contract with Anlaan Corporation
in the amount of $1,145,853.25 for road reconstruction work on New Street;
Evanston to Calvin; and 2nd Street; Houston to Muskegon. Bids were solicited for
a construction project to reconstruct New Street; Evanston to Calvin; and 2nd;
Houston to Muskegon. Anlaan Corp provided the low bid. Bids came in under
budget. Project is budgeted for in FY24-25.
STAFF RECOMMENDATION: Move to authorize staff to enter into a contract with
Anlaan Corporation for the amount of $1,145,853.25 for the reconstruction of
New Street and 2nd Street according to the construction plans and approve
change orders up to 10 percent of the contract award.

    F. Annual Action Plan Budget 2024 Community & Neighborhood Services
The budgets for both CDBG and HOME funds are for your review and consent.
The Annual Action Plan Budgets are presented to the Commission for approval
based on the Department of Housing and Urban Development (HUD)
appropriations for FY2024. The Community Planning and Development (CPD)
office-funded programs are Community Development Block Grant (CDBG) and
HOME investment Partnerships (HOME) and the allocations total $1,136,877.00
for eligible programs administered by the office of Community and
Neighborhood Services.
STAFF RECOMMENDATION: To approve the 2024 Annual Action Plan Budgets for
CDBG and HOME Programs.

    G. Contract for Mediation & Restorative Services Planning
Over the past 13 months, the City has been contracting with Mediation &
Restorative Services for youth counseling on underage vaping and cannabis
consumption. The program is paid for with funding from the Muskegon Social
Equity Program. The current contract expires at the end of June and the
organization is requesting $40,000 for an additional 12 months. The previous
contract was for $47,000 over 13 months.
STAFF RECOMMENDATION: To approve the contract with Mediation &
Restorative Services.

the contract with Mediation & Restorative Services.

    H. Contract for Expungement Clinics with G.U.N.S. Planning
The City partnered with G.U.N.S last year to hold a series of expungement
clinics. These clinics were well attended and staff wishes to partner with them
again for an additional three clinics over the next year. The organization is
requesting increased funding this year to cover the costs of follow-up services,
surveys and for staff compensation (last year volunteers spent hours pulling
iChats, making folders, registering people, making phone calls, and other
monitoring duties associated with expungement clinics and wrap around
services). These clinics are funded by the Muskegon Social Equity Program.
STAFF RECOMMENDATION: To approve contract with G.U.N.S.

       Sale of Lots to EB2 Development Limited Liability Company (Green Rabbit
       Home Builders) Planning
Staff is seeking the termination of the PA for Green Rabbit Home Builders to
purchase City-owned vacant lots at 553, 558, 579, 601, 608, & 621 Jackson and
505 Alva, approved 5/28/24 due to clerical errors. Staff is also seeking

authorization to sell the same City-owned vacant lots to EB2 Development
Limited Liability Company d/b/a Green Rabbit Home Builders. The Purchase
Agreement, approved by Commission on 5/28/24, contained errors and
omissions in Exhibit A about the eventual combination and split of these lots.
Also, Green Rabbit Home Builders must be listed as EB2 Development Limited
Liability Company d/b/a Green Rabbit Home Builders. This Purchase Agreement
has been re-submitted with corrections made.
STAFF RECOMMENDATION: Rescind the authority for the Mayor and Clerk to sign
the May 28, 2024, Purchase and Development Agreement and authorization for
the Code Coordinator to complete the sale of 553, 558, 579, 601, 608, & 621
Jackson and 505 Alva and now authorize the Code Coordinator to complete
the sale of 553, 558, 579, 601, 608, & 621 Jackson and 505 Alva, as described in
the revised purchase agreement, and to have the Mayor and Clerk sign both

    K. Sales Agreement for Nelson House Planning
Staff is submitting the formal Purchase Agreement for the previously approved
project to relocate the Nelson House. The Muskegon Public Schools Board
considered this sales agreement to formally convey the house to the City at
their June 4th regular meeting. The target date to move the house to the city-
owned lot at 382 West Muskegon Avenue is July 9th, with a rain date of July
10th.
STAFF RECOMMENDATION: Motion to approve the Purchase Agreement as
presented and to authorize the Mayor and Clerk to sign.

2024-56 PUBLIC HEARINGS

    A. Request for an Industrial Facilities Exemption Certificate - Forming
       Technologies, LLC - 2675 Olthoff Drive Economic Development
Forming Technologies, LLC has requested an Industrial Facilities Tax Exemption
Certificate. The company will be making an investment of $16,000,000 in real
property improvements and plans on creating up to 72 jobs over four years as
part of the overall project, qualifying them for a 12-year abatement. Forming
Technologies, LLC (Form Tech) is a manufacturing facility, founded in November
2004, providing customized pallets, lids, and shipping products using a
thermoforming process.

In partnership with Bluewater Industrial Development, LLC, Form Tech will begin
construction of a new facility starting September 2024. The new 195,000 sq. ft
building will house the plastic extrusion and thermoforming business and its
associated offices. The total real property investment is $16,000,000. This project
will create 72 more jobs over the next four years.

Staff Comments:
There is an established Industrial Development District on this site since July 26,
1983, that encompasses the Port City Industrial Park and is included in the
agenda packet.

The IFT committee reviewed the applicant's project on May 29, 2024, and based
on their findings and calculations, the committee suggests approval of the
attached resolution for a term of 12 years for real property. The company has
turned in all the necessary documents.
STAFF RECOMMENDATION: I move to close the public hearing and approve the
resolution granting an Industrial Facilities Exemption Certificate for a term of 12
years for real property to Forming Technologies, LLC and to authorize the Mayor
and Clerk to sign.
The Public Hearing opened to hear and consider any comments from the
public. Comments were heard in favor of the exemption from Marla Schneider,
President CEO, Greater Muskegon Economic Development.

Motion by Commissioner Keener, second by Commissioner Kilgo, to close the
public hearing and approve the resolution granting an Industrial Facilities
Exemption Certificate for a term of 12 years for real property to Forming

    B. Transmittal of the 2024-25 Proposed Budget Finance
At this time, staff is transmitting to the City Commission the proposed budget for
fiscal year 2024-25 which starts July 1, 2024. Both hardcopy and electronic
versions of the budget have been distributed to Commissioners. Additionally,
the budget is available for inspection on the City’s website and at the City
Clerk’s office. The proposed budget was reviewed in detail with staff at the May
23, 2024, Worksession. A public hearing on the budget was held at the regular
Commission meeting on June 11, 2024. City ordinance requires that the budget
be adopted by the Commission on or before the second Commission meeting
in June.
STAFF RECOMMENDATION: To approve the proposed budget for the 2024-25
fiscal year.
The Public Hearing opened to hear and consider any comments from the
public. No public comments were made.

Brief Summary:
Staff requests approval to enter into a contract with Midwest Construction Group for $298,000 for the
reconstruction of the downtown Muskegon splashpad.

Detailed Summary & Background:
The current downtown Muskegon splashpad has exceeded its lifespan and is due for replacement.
 Staff has worked hard to keep this amenity running, but a new splashpad is long overdue. On May
2nd, the Parks & Recreation department posted a RFP for splashpad reconstruction. We received 1
proposal for $298,000 from Midwest Construction Group for this project. Staff believes this is a
reasonable cost for the project. This will be funded through a combination of the DNR SPARK grant
($250,000) and a donation from Howmet Aerospace ($50,000). The goal is for construction to be
completed this fall.

Through the request of the DNR, we solicited bids in late 2023 for a design build, which was awarded
to Fleis & Vanderbrink. Since F&V was selected, we held a public engagement and finalized design
concepts which were approved by the DNR. These plans were included in the reconstruction RFP
and staff is excited to rehab this popular community amenity.

Hearing, Case 2024-11: Request to rezone 1903 Marquette Avenue from RM-1, Low-Density Multiple
Family Residential, to FBC-NC, Form-Based Code, Neighborhood Core, by the County of Muskegon.

SUMMARY

   1. The County of Muskegon purchased Baker College in 2022 and now operates several municipal
      departments on site, with more relocating there over the next three years. Baker College, Central
      Dispatch, and West Michigan Medical Consortium currently lease space on site. Other vacant
      building space is being offered for lease. The County is also considering the sale of additional land
      on site that it does not need for its operations.
   2. The current zoning of RM-1, Low Density Multiple-Family Residential is very restrictive for the
      types of classroom/office uses that have historically operated on this parcel. A rezoning to Form
      Based Code, Neighborhood Core would allow these types of uses by right and would also ensure
      that any building additions would be developed in a walkable, pedestrian friendly pattern. This
      zoning designation would also allow for varying types of residential development.
   3. Please see the zoning ordinance excerpts for RM-1 and FBC, NC districts.
   4. Notice was sent to all properties within 300 feet of the focus area. At the time of this writing, staff
      had not received any comments.

Last year the City Commission awarded an option to purchase the city-owned building at 1095 Third
Street to West Urban Properties. Since then, City staff have been working with the potential developer
on an environmental site assessment grant through GMED, developing a pro forma that cash flows
with mixed income units, and determining a rough project timeline. The goal will be to commence
this project before the end of the calendar year, with lease up on phase one in 2025 and
commencement of phase two also in 2025.

                                PURCHASE AND SALE AGREEMENT


        This Purchase and Sale Agreement (this “Agreement”) is effective ____, 2024 (“Effective Date”)
between Midtown Center, LLC, a Michigan limited liability company, with principal offices at 3265
Walker Avenue NW, Suite D, Grand Rapids, MI 49544 (“Buyer”) and the City of Muskegon, a
municipal corporation, with principal offices at 933 Terrace Street, Muskegon, MI 49440 (“Seller”), with
reference to the following facts:

                                                Background

         A. Seller owns the real estate located at 1095 Third Street, Muskegon, MI 49441 and the vacant
lot located at 301 W. Muskegon Ave., Muskegon, MI 49441, as depicted on the Site Plan attached as
Exhibit A to this Agreement and legally described on Exhibit B attached to this Agreement (the
“Premises”).

         B. Buyer has agreed to purchase, and Seller has agreed to sell the Premises to Buyer according
to the terms and conditions of this Agreement.

        It is agreed as follows:

         1. Agreement to Sell and Purchase the Premises. Seller shall sell and Buyer shall purchase
the Premises, together with all beneficial easements, all improvements, fixtures, division rights,
hereditaments and appurtenances associated with the Premises, on the terms and conditions set forth in
this Agreement. The instrument conveying the Premises from Seller to Buyer shall contain a provision
relating to the Seller’s reversionary interest and Buyer’s occupancy restrictions, as more fully required in
this Agreement.

         2. Purchase Price; Deposit and Manner of Payment. The purchase price for the Premises is
One Hundred Thousand and 00/100 Dollars ($100,000). Contemporaneously, with the execution of the
Agreement, Buyer will deposit the sum of Ten Thousand and 00/100 Dollars ($10,000) (the “Deposit”)
with Title Company (as defined below). At closing, and upon execution and delivery of a quit claim deed
and all other documents of transfer, Buyer will pay the remainder of the purchase price ($90,000) to the
Seller by Title Company check or wire transfer. If the purchase and sale contemplated by this Agreement
is closed, the Deposit shall be a credit against the purchase paid by Buyer. If Buyer terminates this
Agreement pursuant to any termination right granted by this Agreement, the Deposit shall be promptly
returned to Buyer.

          3. Title Insurance. Seller shall, at Seller’s expense, order a commitment for owner's policy of
title insurance issued by Transnation Title Agency (the “Title Company”) in the standard ALTA form,
without the standard printed exceptions, in the amount of the purchase price that shows that Seller has
good and marketable title to the Premises. Buyer represents and warrants that the Title Company is
independent and neither related nor affiliated with Buyer or Buyer’s attorneys.

        4. Objections to Condition of Title. Buyer may raise objections to the exceptions,
requirements or encumbrances shown on the commitment at any time prior to expiration of the Inspection
Period (as defined below) by delivering written notice to Seller. If Buyer raises a title objection, Seller
shall have the option of affecting a remedy within thirty (30) days after receipt of the Buyer’s notice. If
Seller does not affect a remedy satisfactory to Buyer, Buyer may elect to close subject to such exception
or encumbrance or, if Buyer elects not to close, Seller or Buyer may terminate this Agreement by written

notice to the other party to this Agreement. Any exception, requirement or encumbrance shown on the
title commitment which is not objected to by the Buyer during the Inspection Period is deemed accepted
by the Buyer.

         5. Proration of Property Taxes and Rents. Real estate taxes and assessments, if any, that first
became or will become due and payable during the calendar year of the Date of Closing (as defined
below) shall be pro-rated on a calendar year basis. All real estate and personal property taxes with respect
to the Premises that first become due and payable on or before the Date of Closing, or which are assessed
retroactively for the period of time prior to the Date of Closing, shall be paid by Seller.

         6. Assessments. Seller shall pay any existing special assessments that are due and payable, or a
lien or both, on the Premises at or prior to Date of Closing.

         7. Survey. Buyer may obtain a survey of the Premises, and Buyer or Buyer’s surveyor or other
agents may enter the Premises for that purpose prior to Date of Closing. In the event that a survey by a
registered land surveyor made prior to Date of Closing discloses an encroachment or substantial variation
from the presumed land boundaries or area, Seller shall have the option of affecting a remedy within 30
days after disclosure. If Seller does not affect a remedy satisfactory to Buyer, Buyer may elect to close
subject to such encroachment or variation or, if Buyer elects not to close, Seller or Buyer may terminate
this Agreement.

         8. Representations and Warranties. The execution and delivery by Seller of the quit claim
deed shall constitute confirmation by Seller that the following representations and warranties are true and
correct as of the Date of Closing, as though made on and as of such time.

    Seller represents and warrants to Buyer as follows:

               a. Authority. Seller has full authority to enter into and perform this Agreement in
        accordance with its conditions, without breaching or defaulting on any obligation or
        commitments that Seller has to municipalities, lenders or any third party.

                 b. Other Agreements. Seller is not a party to any agreement or otherwise bound under
        any obligation with any other party who has any interest in the Premises or the right to purchase
        or lease the Premises.

                c. Entire Interest. Seller's entire interest in the Premises will be transferred to Buyer
        on the Date of Closing, free and clear of all liens, encumbrances, charges, and adverse claims,
        contractual or otherwise, including any and all mineral, surface and division rights.

                 d. Litigation. There are no suits, actions, or proceedings pending or, to the best of
        Seller's knowledge, threatened, by any party, including governmental authorities or agencies,
        against or involving the Premises, or to which Seller is or may become a party in connection with
        the Premises.

                e. No Violations or Obligations. Except as disclosed in writing to, and accepted by
        Buyer, there are, and shall be, no uncured violations or unsatisfied obligations with any
        governmental authority, including, without limitation, environmental violations, of any laws,
        ordinances, orders, regulations, rules, or requirements of any governmental authority, affecting
        the Premises or any part thereof.

               f. Accuracy. All statements and information relating to the Premises provided to
        Buyer are true and accurate to best of Sellers knowledge.

                g. Brownfield Tax Increment Financing. Seller agrees to work with Buyer to submit
        to the City of Muskegon Brownfield Redevelopment Authority an Amendment to the current
        Brownfield Plan and Development and Reimbursement Agreement.

                 h. Commercial Rehabilitation Certificate. Seller agrees to work with Buyer to submit
        to the State Tax Commission an application for a Commercial Rehabilitation Certificate not to
        exceed a term of 10 years.


      Buyer represents and warrants to Seller as follows:
                  a.     Acceptance of Tenant Based Vouchers. Buyer agrees to identify and hold 20%
of the total apartment units in the first phase, which is the development of the existing building on the
Premises, and the second phase, which is vacant land on the Premises fronting Houston Avenue, for
tenants that have been awarded Tenant Based Vouchers by the Muskegon Housing Commission. At the
time of the first occupancy of units, at least 30 days before a voucher-eligible unit is scheduled to become
available, the Buyer must advertise that a voucher-eligible unit is available and refrain from leasing the
unit to market rate applicants. If a qualified voucher holding applicant, as determined by the Buyer, has
applied during the notice period, Buyer shall rent the available unit to the individual with the Tenant
Based Voucher.
                  b.     Once 100% of the voucher-eligible units are occupied by individuals with
Tenant Based Vouchers, Buyer need not advertise that the Buyer has voucher-friendly units.
                  c.     When voucher-eligible occupied units become vacant, Buyer shall be obligated
to advertise for 30 days that a unit is available for an individual with a Tenant Based Voucher and refrain
from leasing the unit to market rate applicants. If a qualified voucher holding applicant, as determined by
the Buyer, has applied during the notice period, Buyer shall rent the available unit to the individual with
the Tenant Based Voucher.
                  d.     If an insufficient number of qualified individuals with Tenant Based Vouchers, as
determined by the Buyer, apply to fill 100% of the voucher-eligible units, then Buyer may rent to market
rate applicants.
                  e.     The acceptance of Tenant Based Vouchers and the obligation to have 20% of the
units be eligible for Tenant Based Vouchers shall last for a term of 20 years from the receipt by Buyer of
Certificate of Occupancy for the first phase of the project. During the 20-year period referred to in the
previous sentence, Buyer shall, upon request of the Seller, provide the Seller with a list of units occupied
by individuals with Tenant Based Vouchers in a format required by Seller. Buyer shall not be required to
provide Seller with tenant names or other personal identifying information.

No Warranty of Premises. Buyer will have an opportunity to inspect all aspects of the Premises,
including its financial and physical condition and its legal status. Seller makes no warranty or
representation regarding the Premises and Buyer waives all implied warranties. Buyer is relying solely on
its own expertise and Buyer’s inspections and investigations made by Buyer pursuant to this Agreement.
Buyer is acquiring the Premises in its “AS IS” condition, without any warranties or representations,
express or implied, concerning the Premises from Seller.

        9. Inspection Period.

                 a. Due Diligence Investigation. Upon Seller’s execution of this Agreement, Buyer and
        Buyer’s agents, employees, contractors, and consultants may, prior to the Date of Closing,
        conduct such inspections, investigations, appraisals, tests, feasibility studies, and determinations
        of the Premises as Buyer, in its sole discretion, shall desire in order to determine that the
        condition of the Premises is acceptable and that the Premises is suitable for Buyer's intended uses
        (“Due Diligence Investigation”). The Due Diligence Investigation may include, but shall not be
        limited to, inquiring as to the existence and/or adequacy of electrical, plumbing, sewer, water and

        other utility services, public services and access; physical condition of improvements, insuring as
        to applicable zoning ordinances, use regulations and business codes; conducting soil tests of the
        Premises, borings and other engineering and architectural tests; evaluation of the environmental
        conditions which exist at the Premises (including, if desired by Buyer, a Phase I and Phase II
        environmental site assessment and a baseline environmental assessment) and Seller's compliance
        with all applicable state and federal environmental laws and regulations. Buyer shall pay the cost
        of the Due Diligence Investigation. The Due Diligence Investigation shall begin on the Effective
        Date and shall continue for a period of thirty (30) days (“Inspection Period”). Buyer shall
        indemnify Seller and hold Seller harmless from any loss, damage, costs, and expenses (including
        reasonable attorney fees) caused by Buyer’s Due Diligence Investigation.

                 b. Copy to Buyer. Within seven (7) days after the Effective Date, Seller shall provide
        Buyer with a copy of any survey, title policy or commitment, and any results, data, or reports of
        the environmental condition of the Premises in Seller’s possession or control. Seller
        acknowledges that during the Inspection Period or at any time consistent with regulations before
        or after Date of Closing, Buyer may make a petition to the Michigan Department of Environment,
        Great Lakes and Energy (“EGLE”) for a baseline environmental assessment (“BEA”) adequacy
        determination, or at the option of Buyer, may disclose the results of the BEA to EGLE without
        such a petition.

         10. Right to Terminate. At any time during the Inspection Period, Buyer may, in its sole
discretion, terminate this Agreement by delivering written notice to Seller, and this Agreement shall
thereafter be of no further force or effect.

         11. Improvements. Buyer commits to undertake a first phase of development on the existing
building on the Premises and a second phase on vacant land on the Premises fronting Houston. As to the
first phase, Buyer agrees to submit requests for building permits for a mixed-use residential project that
occupies 100% of the first and second floors of the existing building by December 31, 2024, and
substantially complete the project within 24 months of issuance of building permits. As to the second
phase, Buyer agrees to submit plans and apply for building permits for an additional phase of housing
fronting Houston Avenue on the Premises with a minimum of twelve (12) new construction units within
90 days of receiving Certificate of Occupancy on the initial phase. The additional units in the second
phase of development on the Premises shall be substantially complete within 24 months of the issuing of
building permits. Failure to complete the Improvements in the schedule described shall result in a vote of
the Muskegon City Commission to consider the revocation of any approved Tax Abatements awarded to
the Premises by the Muskegon City Commission.


        12. Real Estate Commission. Buyer and Seller both acknowledge and agree that neither has
dealt with any real estate agents, brokers, or salespersons regarding this sale, and that no agent, broker,
salesperson, or other party is entitled to a real estate commission upon the closing of this sale.

        13. Closing.

                a. Date of Closing. Unless the parties otherwise mutually agree, the closing shall be
        held within thirty (30) days from the expiration of the Inspection Period (“Date of Closing”). The
        closing shall be held at the offices of the Title Company. At closing, Seller shall deliver, or cause
        to be delivered to Buyer, actual physical possession of the Premises, free of all tenants or other
        occupants.

                 b. Costs. The costs associated with this Agreement shall be paid as follows:

                         i.      Seller shall pay all state and county transfer taxes in the amounts
                 required by law for the conveyance of the Premises;

                        ii.      Seller shall pay the premium for the owner’s policy of title insurance.
            Buyer shall pay for any lenders policy of title insurance and the cost of any endorsements to
            the owner’s policy requested by Buyer;

                         iii.    Buyer shall pay for the cost of recording the warranty deed;

                         iv.    Seller shall be responsible to pay for the recording of any instrument that
                 must be recorded to clear title to the extent required by this Agreement;

                        v.     Buyer and Seller shall each pay one-half of any closing fees charged by
            the Title Company;

                         vi.     Each party shall pay its own attorney;


                 c. Deliveries. At closing, Seller shall deliver:

                        i. In a form reasonably satisfactory to Buyer and the Title Company, a quit claim
        deed to the Premises executed by Seller, subject only to the exceptions that are permitted under
        this Agreement;

                        ii. An affidavit stating that neither Seller nor any of its principals is a “Foreign
        Person” within the meaning of IRC Section 1445(f)(3); and

                       iii. Any additional documents as may be reasonably required by the Buyer or the
        Title Company to effectuate the transaction contemplated by this Agreement.

        14. Possession. Possession of the Premises will be delivered to Buyer on the Date of Closing
subject only to the possession rights of current occupants if any.

         15. Notice. All notices, approvals, consents, and other communications required under this
Agreement shall be in writing and, shall be deemed given: (i) when delivered in person; (ii) when sent by
fax or email; (iii) one day after depositing in the custody of a nationally recognized receipted overnight
delivery service with delivery fees prepaid; or (iv) when sent by United States Mail first-class, registered,
or certified mail, postage prepaid and return receipt requested. The notice shall be effective immediately
upon personal delivery or upon transmission of the fax or email; one day after depositing in the custody of
a nationally recognized overnight delivery service and five days when sent by certified mail. Notices shall
be sent to the parties as follows:

         16. Remedies. The parties acknowledge and agree that it would be difficult to measure actual
damages to either party from a breach by the other party of the covenants, restrictions, representations,
and warranties set forth in this Agreement and that the injury to non-breaching party from any breach
would be incalculable and irremediable and the damages would not therefore in and of themselves be an
adequate remedy. The parties therefore agree that in the event of a breach or default by either party, the
non-breaching party may terminate this Purchase and Sale Agreement or obtain from any court of
competent jurisdiction an injunction to enforce the terms and conditions of this Agreement. Nothing in
this paragraph shall limit either party’s right to pursue any remedy, including money damages for any
breach of this Agreement and specific performance.

        17. Miscellaneous.

                 a. Governing Law and Venue. This Agreement is executed in accordance with, shall
        be governed by, and construed and interpreted in accordance with the laws of the State of
        Michigan. The exclusive venue for any claim under this Purchase and Sale Agreement is the
        Circuit Court for the County of Muskegon or the United States District Court for the Western
        District of Michigan.

                b. Entire Agreement. This Agreement shall constitute the entire agreement, and shall
        supersede any other agreements, written or oral, that may have been made or entered into, by and
        between the parties with respect to the subject matter of this Agreement and shall not be modified
        or amended except in a subsequent writing signed by the party against whom enforcement is
        sought.

                c. Binding Effect. This Agreement shall be binding upon and inure to the benefit of
        and be enforceable by, the parties and their respective legal representatives, permitted successors
        and assigns.

                 d. Intentionally omitted.

                e. Counterparts/Electronic Signatures. This Agreement may be executed in two or
        more counterparts, each of which shall be deemed an original as against any party whose
        signature appears thereon, and all of which together shall constitute one and the same instrument.
        This Agreement shall become binding upon the parties when one or more counterparts,
        individually or taken together, shall bear the signatures of all parties. Electronic signatures shall
        have the same binding effect as original signatures.

                 f. Non-Waiver. No waiver by any party of any provision of this Agreement shall
        constitute a waiver by such party of such provision on any other occasion or a waiver by such
        party of any other provision of this Agreement.

                g. Severability. Should any one or more of the provisions of this Agreement be
        determined to be invalid, unlawful, or unenforceable in any respect, the validity, legality, and
        enforceability of the remaining provisions of this Agreement shall not in any way be impaired or
        affected.

                 h. Assignment or Delegation. Neither party may assign all nor any portion of its
        rights and obligations contained in this Agreement without the express written consent of the
        other party.

                  i. Time is of the Essence. Seller and Buyer acknowledge and agree that the time
        related provisions set forth herein are critical and essential terms of this Agreement and that time
        is of the essence with regard to the transactions contemplated in this Agreement. Failure to
        strictly comply with the time related provisions of this Agreement will be considered a breach of
        the entire Agreement. If the date for closing, for the delivery of a document, or for giving of a
        notice, falls on a Saturday, Sunday or bank holiday, then it shall be automatically deferred to the
        next day that is not a Saturday, Sunday or bank holiday.

                j. Survival of Representations and Warranties. The representations, warranties,
        covenants, and agreements contained in this Agreement and in any instrument provided for in this
        Agreement shall survive Closing and continue in full force and effect following the Date of
        Closing.
